Welcome to INSENSE Vietnam. By accessing our website, engaging our services, or entering into a service agreement with us, you agree to be bound by these Terms of Service ("Terms"). Please read these Terms carefully before using our services.

If you do not agree with any part of these Terms, you may not access our website or use our services. Your continued use of our services constitutes acceptance of these Terms and any future modifications.

INSENSE Vietnam provides premium event production services, including but not limited to:

Audio engineering and sound system design

Lighting design and installation

Stage and event technical production

Equipment rental and technical support

Event planning and consultation

Project management and on-site coordination

The specific scope, deliverables, and pricing for each engagement will be detailed in a separate service agreement or proposal.

All service engagements are subject to a written agreement, proposal, or contract specifying:

Scope of work and deliverables

Project timeline and milestones

Pricing, payment terms, and deposit requirements

Technical specifications and equipment details

Cancellation and modification policies

These Terms supplement, but do not replace, the specific terms outlined in individual service agreements. In case of conflict, the service agreement takes precedence.

Payment terms vary by project and will be specified in your service agreement. General payment policies include:

Deposits: A deposit (typically 50% of total project cost) is required to secure services and begin planning.

Payment Schedule: Remaining balance is due according to the agreed schedule, with final payment typically due before or upon service delivery.

Late Payments: Late payments may incur interest charges and may result in service suspension or cancellation.

Currency: All payments are in Vietnamese Dong (VND) or US Dollars (USD) as specified in the agreement.

Taxes: Prices exclude applicable taxes unless otherwise stated. You are responsible for all taxes related to the services.

Cancellation by Client: If you cancel services after deposit payment, the deposit may be non-refundable depending on timing and resources committed. Cancellation fees will be detailed in your service agreement.

Cancellation by INSENSE: We reserve the right to cancel services in cases of non-payment, breach of contract, or circumstances beyond our control (force majeure). In such cases, we will provide reasonable notice and refund any prepaid amounts for undelivered services.

Modifications: Changes to project scope, timeline, or specifications may incur additional charges and must be agreed upon in writing. We will provide revised proposals for significant modifications.

Rescheduling: Event rescheduling is subject to equipment and personnel availability and may incur additional fees.

To ensure successful service delivery, you agree to:

Provide accurate and complete information about event requirements, venues, and technical specifications.

Ensure venue access, adequate power supply, and necessary infrastructure for equipment installation.

Obtain all required permits, licenses, and approvals for the event.

Provide timely decisions and approvals to avoid project delays.

Ensure a safe working environment for our personnel and equipment.

Communicate any changes or concerns promptly.

Failure to meet these responsibilities may impact service quality, timelines, and costs, for which INSENSE Vietnam will not be held liable.

INSENSE Vietnam retains all intellectual property rights to our designs, technical plans, proprietary processes, and creative work developed for your event.

You receive a license to use our services and deliverables for the agreed-upon event or project. This license does not include rights to reproduce, modify, or reuse our designs without permission.

Any content, branding, or materials you provide remain your intellectual property. You grant us a license to use these materials solely for delivering the contracted services.

We reserve the right to use photos, videos, and descriptions of completed projects for portfolio, marketing, and promotional purposes, unless you request otherwise in writing.

Equipment provided by INSENSE Vietnam remains our property and must be returned in good condition.

You are responsible for any damage, loss, or theft of equipment during the rental period or event, excluding normal wear and tear.

We maintain insurance on our equipment and operations. However, clients are encouraged to obtain event insurance covering potential liabilities.

INSENSE Vietnam is not liable for damages resulting from equipment failure, technical issues, or circumstances beyond our reasonable control, provided we have exercised due diligence and professional standards.

To the fullest extent permitted by law, INSENSE Vietnam's total liability for any claims arising from our services is limited to the total amount paid by you for the specific service engagement.

We are not liable for indirect, incidental, consequential, or special damages, including lost profits, business interruption, or reputational harm.

This limitation applies regardless of the legal theory (contract, tort, negligence, or otherwise) and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

You agree to indemnify and hold harmless INSENSE Vietnam, its employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from:

Your breach of these Terms or any service agreement

Your violation of any laws or third-party rights

Your negligence or willful misconduct

Content or materials you provide that infringe intellectual property rights

This indemnification obligation survives termination of the service agreement.

INSENSE Vietnam is not liable for failure to perform obligations due to circumstances beyond our reasonable control, including:

Natural disasters, severe weather, or acts of God

War, terrorism, civil unrest, or government actions

Pandemics, epidemics, or public health emergencies

Labor disputes, strikes, or transportation disruptions

Equipment failures or supply chain interruptions

In such events, we will make reasonable efforts to fulfill obligations and may offer alternative solutions. If performance becomes impossible, we will refund prepaid amounts for undelivered services.

Both parties agree to maintain confidentiality of proprietary information, trade secrets, and sensitive data shared during the engagement.

INSENSE Vietnam will not disclose your event details, business information, or client data to third parties without your consent, except as required for service delivery or legal compliance.

This confidentiality obligation survives termination of the service agreement and remains in effect indefinitely for trade secrets and proprietary information.

Either party may terminate a service agreement under the following conditions:

Mutual Agreement: Both parties agree to terminate in writing.

Breach: Either party may terminate if the other materially breaches the agreement and fails to remedy the breach within 14 days of written notice.

Non-Payment: We may terminate immediately for non-payment or late payment.

Upon termination, you must pay for all services rendered up to the termination date, and we will return any prepaid amounts for undelivered services, minus any applicable cancellation fees or costs incurred.

These Terms are governed by the laws of the Socialist Republic of Vietnam.

Any disputes arising from these Terms or our services will first be subject to good-faith negotiation between the parties.

If negotiation fails, disputes will be resolved through arbitration in Ho Chi Minh City, Vietnam, in accordance with Vietnamese arbitration laws.

For international clients, we will consider alternative dispute resolution mechanisms appropriate to the jurisdiction.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website, with the "Last Updated" date revised accordingly.

For ongoing service agreements, material changes will be communicated to you directly, and you will have the option to accept the changes or terminate the agreement.

Continued use of our services after changes constitutes acceptance of the updated Terms.

Entire Agreement: These Terms, together with any service agreement, constitute the entire agreement between you and INSENSE Vietnam.

Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full effect.

Waiver: Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights to affiliates or successors.

No Agency: Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and INSENSE Vietnam.
