Terms of Service

Welcome to INSENSE Vietnam. By visiting our website, using our services, or signing a service agreement with us, you agree to these Terms of Service (“Terms”). Please read them carefully.

If you do not agree with these Terms, you may not use our website or services. Continuing to use our services means you accept these Terms and later updates.

INSENSE Vietnam provides event production services, including:

• Audio engineering and sound system design.
• Lighting design and installation.
• Stage and event technical production.
• Equipment rental and technical support.
• Event planning and consultation.
• Project management and on-site coordination.

The exact work, deliverables, and price for each project will be set out in a separate proposal or service agreement.

Each project is based on a written proposal, agreement, or contract that describes:

• The work and deliverables.
• The timeline and milestones.
• Prices, payment terms, and deposits.
• Technical specifications and equipment.
• Cancellation and change policies.

These Terms supplement the specific service agreement. If they conflict, the service agreement takes priority.

Payment terms vary by project and will be stated in the service agreement. General policies include:

• Deposits: A deposit, usually 50% of the project price, is required to reserve our services and begin planning.
• Payment schedule: The remaining balance is due according to the agreed schedule, usually before or when the service is delivered.
• Late payments: Late payments may incur interest and may lead to a pause or cancellation of services.
• Currency: Payments are made in Vietnamese Dong (VND) or US Dollars (USD), as stated in the agreement.
• Taxes: Prices do not include applicable taxes unless stated otherwise. You are responsible for taxes related to the services.

• Cancellation by the client: If you cancel after paying a deposit, the deposit may not be refundable, depending on timing and committed resources. The service agreement will explain any cancellation fee.
• Cancellation by INSENSE: We may cancel for non-payment, breach of contract, or circumstances outside our control. We will give reasonable notice and refund prepaid amounts for work not delivered.
• Changes: Changes to the work, schedule, or specifications may cost extra and must be agreed in writing. We will provide a revised proposal for significant changes.
• Rescheduling: Moving an event depends on equipment and staff availability and may cost extra.

To help us deliver the service successfully, you agree to:

• Give accurate and complete information about the event, venue, and technical requirements.
• Provide venue access, suitable power, and the infrastructure needed for installation.
• Obtain all permits, licenses, and approvals required for the event.
• Make decisions and give approvals on time so the project stays on schedule.
• Provide a safe working environment for our team and equipment.
• Tell us promptly about changes or concerns.

If these responsibilities are not met, service quality, timing, and cost may be affected. INSENSE Vietnam will not be responsible for those effects.

INSENSE Vietnam keeps the intellectual property rights to designs, technical plans, processes, and creative work we create for your event.

You receive permission to use our services and deliverables for the agreed event or project. This does not allow you to copy, change, or reuse our designs without permission.

Content, branding, and materials you provide remain yours. You allow us to use them only to deliver the agreed services.

Unless you ask us in writing not to, we may use photos, videos, and descriptions of completed projects for our portfolio and marketing.

Equipment supplied by INSENSE Vietnam remains our property and must be returned in good condition.

You are responsible for damage, loss, or theft during the rental period or event, except for normal wear and tear.

We insure our equipment and operations. However, clients should consider obtaining event insurance for other possible risks.

INSENSE Vietnam is not responsible for damage caused by equipment failure, technical problems, or events outside our reasonable control when we have acted with reasonable care and professional standards.

To the extent allowed by law, INSENSE Vietnam’s total responsibility for claims related to our services is limited to the amount you paid for the specific service.

We are not responsible for indirect or special losses, including lost profit, business interruption, or damage to reputation.

Some jurisdictions do not allow these limits, so they may not apply to you.

You agree to protect INSENSE Vietnam, its employees, and contractors from claims, losses, damages, or costs, including legal fees, caused by:

• Your breach of these Terms or a service agreement.
• Your violation of a law or another person’s rights.
• Your negligence or intentional misconduct.
• Content or materials you provide that infringe intellectual property rights.

This responsibility continues after the service agreement ends.

INSENSE Vietnam is not responsible for failure to perform obligations because of events beyond our reasonable control, including:

• Natural disasters, severe weather, or other acts of nature.
• War, terrorism, civil unrest, or government action.
• Pandemics, epidemics, or public health emergencies.
• Labor disputes, strikes, or transport disruption.
• Equipment failure or supply-chain interruption.

We will make reasonable efforts to meet our obligations and may offer another solution. If performance becomes impossible, we will refund prepaid amounts for work not delivered.

Both parties agree to keep confidential information, trade secrets, and sensitive data shared during the project private.

INSENSE Vietnam will not share your event details, business information, or client data without your consent, except when needed to deliver the service or comply with the law.

This duty continues after the service agreement ends. It remains in place indefinitely for trade secrets and proprietary information.

Either party may end a service agreement when:

• Mutual agreement: Both parties agree in writing.
• Breach: One party seriously breaches the agreement and does not fix it within 14 days after written notice.
• Non-payment: We may end the agreement immediately if payment is not made on time.

When the agreement ends, you must pay for services delivered up to that date. We will return prepaid amounts for work not delivered, less applicable cancellation fees or costs already incurred.

These Terms are governed by the laws of the Socialist Republic of Vietnam.

Any dispute about these Terms or our services will first be discussed in good faith.

If discussion does not resolve the dispute, it will be settled by arbitration in Ho Chi Minh City under Vietnamese arbitration law.

For international clients, we will consider another suitable dispute-resolution process for their jurisdiction.

We may change these Terms at any time. Changes take effect when posted on our website, and the “Last Updated” date will be changed.

For ongoing service agreements, we will tell you about important changes directly. You may accept them or end the agreement.

Continuing to use our services after changes are posted means you accept the updated Terms.

• Entire agreement: These Terms and the service agreement together form the full agreement between you and INSENSE Vietnam.
• Severability: If one part is invalid or cannot be enforced, the rest remains effective.
• Waiver: Not enforcing a provision does not mean we give up that provision or another one.
• Assignment: You cannot transfer your rights under these Terms without our written consent. We may transfer our rights to an affiliate or successor.
• No agency: These Terms do not create a partnership, joint venture, or agency relationship.
